These Terms of Use ("Terms") govern your access to and use of reignedge.com and any related products, features, or services that link to these Terms (collectively, the "Services"), operated by Reign Edge ("we," "us," "our").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

1. About Reign Edge

Reign Edge is an AI-native trading platform that helps discretionary traders convert their trading rules into automated, backtestable strategies — without code. As of the effective date of these Terms, our Services consist of a marketing website and a contact form. Additional features (including a user-facing trading platform) are in development.

These Terms cover our current Services. When we launch new features that require additional terms (such as user accounts, paid subscriptions, or trading-related functionality), we will publish supplemental terms that apply specifically to those features.

2. Important Disclaimers — Read Before Using

2.1 Not Investment Advice

Nothing on our Services is investment advice, financial advice, trading advice, or any other type of advice. We are not a registered investment advisor, broker-dealer, financial planner, or financial institution. We do not recommend that you buy, sell, or hold any security, currency, or financial instrument.

Any information, content, examples, or educational material on the Services is provided for informational and educational purposes only. You are solely responsible for your trading decisions and their outcomes.

2.2 Trading Risk

Trading foreign exchange (forex), derivatives, cryptocurrencies, and other financial instruments carries a substantial risk of loss and is not suitable for every investor. The high degree of leverage can work against you as well as for you. You can lose some or all of your invested capital. Past performance is not indicative of future results.

You should carefully consider whether trading is appropriate for you in light of your experience, financial resources, risk tolerance, and other relevant factors. If you have any doubt, seek advice from an independent financial advisor.

2.3 No Solicitation

Our Services do not constitute an offer or solicitation to buy or sell any financial product, security, or service in any jurisdiction. We do not manage outside capital, accept investments, or operate as a fund, pool, signal service, managed account, or copy-trading service.

2.4 Jurisdiction Limitations

Our Services are not directed to any person in any jurisdiction where their distribution or use would be contrary to law or regulation, or where they would subject us to any registration requirement. You are solely responsible for ensuring that your use of our Services complies with the laws of your jurisdiction.

3. Eligibility

To use our Services, you must:

  • Be at least 18 years old (or the age of majority in your jurisdiction, if higher)
  • Have the legal capacity to enter into a binding agreement
  • Not be a person barred from using the Services under the laws of your jurisdiction or any other applicable jurisdiction
  • Not be subject to applicable trade sanctions, export control restrictions, or other legal prohibitions that would prevent you from lawfully using the Services

By using the Services, you represent and warrant that you meet these eligibility requirements.

4. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Services in any manner that violates any applicable law or regulation
  • Submit false, misleading, fraudulent, or impersonating information through any form on our Services
  • Use the Services as backend infrastructure for operating a commercial trading signal service, managed account service, copy-trading service, or pooled investment offering to third parties. You may use signals from strategies you create for your personal trading or informal sharing within personal networks; however, you may not commercialize signals, strategies, backtest results, or other outputs generated through the Services except as expressly permitted by the Services or by a separate written agreement with Reign Edge. You may not represent that any signal, strategy, or output is generated, endorsed, recommended, or guaranteed by Reign Edge to any third party
  • Harass, threaten, defame, or otherwise harm any person through the Services
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt the Services, our systems, or our networks
  • Engage in unauthorized automated access to the Services, systematically scrape or extract substantial portions of content from the Services, bypass any security feature, rate limit, or access restriction, or impose an unreasonable load on our systems or infrastructure. Standard search-engine indexing that complies with our robots.txt directives is not prohibited by this clause
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Services (except as expressly permitted by law)
  • Use the Services to develop a competing product or to assist any party in doing so
  • Use the Services in any manner that could disable, overburden, damage, or impair them

We reserve the right to investigate violations and to take appropriate action, including suspending or terminating access, removing content, and pursuing legal remedies.

5. Intellectual Property

5.1 Our Content

All content on the Services — including text, design, graphics, logos, trademarks, software, source code, and the "Reign Edge" name and brand — is owned by us or licensed to us, and is protected by copyright, trademark, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial purposes only.

You may not copy, modify, reproduce, republish, distribute, sell, license, or otherwise exploit any content from the Services without our prior written consent, except as permitted by applicable law (such as fair use or fair dealing).

5.2 Feedback and Submissions

If you send us suggestions, feedback, ideas, or other materials about the Services ("Submissions"), you grant us a worldwide, royalty-free, perpetual, irrevocable license to use, modify, and incorporate them for any purpose without compensation or attribution to you. We will not treat Submissions as confidential.

Do not send us anything you wish to keep confidential or proprietary.

5.3 Trademarks

"Reign Edge" and our logos are trademarks of Reign Edge. You may not use them without our prior written permission, except to truthfully describe our Services.

6. User Content

As of the effective date of these Terms, our Services do not provide a way for users to publicly post or share content. The only user-generated content we accept is information you provide through our contact form, which is private and not visible to other users.

If we add features that allow user-generated content in the future, additional terms will apply to those features.

7. Third-Party Services

Our Services may link to or rely on third-party websites, products, or services that we do not own or control. We are not responsible for the content, practices, or availability of third-party services. Your interactions with any third party are solely between you and that third party.

8. Privacy

Our Privacy Policy describes how we collect, use, and protect your personal information. By using the Services, you agree to our collection and use of information as described in the Privacy Policy.

9. Services Availability and Changes

We may modify, suspend, or discontinue any part of the Services at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation.

We do not guarantee that the Services will be available at all times, error-free, or uninterrupted. We may perform maintenance that results in temporary unavailability.

10. Termination

We may suspend or terminate your access to the Services at any time, for any reason, with or without notice — including for breach of these Terms.

You may stop using the Services at any time.

Provisions of these Terms that by their nature should survive termination (including Sections 2, 5, 11, 12, 13, 14, 15, 16, and 17) will survive.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:

  • THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS
  • THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
  • ANY CONTENT ON THE SERVICES IS ACCURATE, COMPLETE, RELIABLE, OR CURRENT
  • ANY ERRORS WILL BE CORRECTED
  • THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
  • ANY TRADING STRATEGY, RULE, ANALYSIS, BACKTEST RESULT, OR EDUCATIONAL EXAMPLE WILL PRODUCE PROFITABLE OR ACCURATE RESULTS

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM US OR THROUGH THE SERVICES, CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE OR OUR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, including loss of profits, revenue, data, use, goodwill, or other intangible losses, arising out of or related to your use of (or inability to use) the Services
  • TRADING LOSSES, LOST PROFITS, OR MISSED OPPORTUNITIES arising from your trading decisions, whether or not influenced by content on the Services
  • DAMAGES ARISING FROM unauthorized access to or alteration of your data, statements or conduct of any third party, or any other matter related to the Services

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICES OR THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, WILL NOT EXCEED THE GREATER OF:

  • THE AMOUNT YOU HAVE PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR
  • ONE HUNDRED US DOLLARS (USD 100)

THESE LIMITATIONS APPLY EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED BY APPLICABLE LAW.

13. Indemnification

You agree to defend, indemnify, and hold harmless Reign Edge and our officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Services
  • Your breach of these Terms
  • Your violation of any law or the rights of any third party
  • Any content or information you submit through the Services

We reserve the right to assume the exclusive defense of any matter subject to indemnification, in which case you agree to cooperate with us.

14. Governing Law

These Terms are governed by the laws of Vietnam, without regard to its conflict-of-laws principles.

Where mandatory consumer protection laws of your jurisdiction provide rights that cannot be overridden by contract, those rights apply notwithstanding this choice of law.

15. Dispute Resolution

15.1 Informal Resolution

Before initiating any formal legal action, you and we agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services ("Dispute") informally for at least 30 days.

Either party may begin informal negotiations by sending a written notice to the other (to legal@reignedge.com for us, or to your registered contact information for you) describing the Dispute and the relief sought.

15.2 Governing Courts

If a Dispute is not resolved through informal negotiations, it will be subject to the exclusive jurisdiction of the competent courts located in Ho Chi Minh City, Vietnam, and each party submits to the personal jurisdiction of those courts.

15.3 Exceptions

Nothing in this Section 15 limits either party's ability to seek urgent injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm pending resolution of the underlying dispute.

15.4 Consumer Rights

If you are a consumer residing in the European Economic Area, United Kingdom, or another jurisdiction that grants you mandatory rights to bring disputes in your local courts, nothing in this Section 15 limits those rights.

16. Changes to These Terms

We may modify these Terms at any time. When we do, we will revise the "Last updated" date at the top. For material changes, we will provide additional notice (such as a banner on our website or, where appropriate, email notification).

Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Services.

17. Miscellaneous

17.1 Entire Agreement

These Terms, together with our Privacy Policy and any supplemental terms we publish for specific features, constitute the entire agreement between you and us regarding the Services.

17.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable, preserving the original intent.

17.3 No Waiver

Our failure to enforce any provision is not a waiver of our right to enforce it later.

17.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, financing, or sale of assets.

17.5 Force Majeure

We are not liable for any delay or failure to perform caused by circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action, labor disputes, internet or telecommunications failures, or third-party service outages.

17.6 No Agency

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and us.

17.7 Electronic Communications

If you provide us with an email address or contact us through the Services, you agree that we may communicate with you electronically regarding your inquiry or use of the Services. You agree that electronic communications we send you satisfy any legal requirement that such communications be in writing.

17.8 Headings

Section headings are for convenience only and do not affect the interpretation of these Terms.

17.9 Language

These Terms are drafted in English. Any translated version we provide is for convenience only and has no legal effect. In the event of any conflict or inconsistency between the English version and a translated version, the English version controls.
